ELGARAGE — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ELGARAGE mobile application and website (together, the "Platform"). By creating an account, submitting a request, submitting an offer, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. About ELGARAGE and What We Do

ELGARAGE is a managed used-car marketplace operated by الجراج سيرفيس للوساطة التجارية ("ELGARAGE", "we", "us", "our"), operating in Alexandria and Cairo, Egypt. We provide on-site vehicle inspections, 360° visual listings, pricing consultation, and we mediate contact between sellers and buyers.

ELGARAGE is an intermediary (broker), not a party to the sale. We do not own, buy, sell, or take title to the vehicles listed on the Platform. Every sale is a contract concluded directly between the seller and the buyer. We are not a dealer, we do not guarantee any vehicle, and we are not responsible for the performance of the sale contract between the parties. Our role is to introduce the parties, provide an inspection and listing service, and facilitate the transaction.

2. Definitions

  • Platform — the ELGARAGE app and website.
  • Seller — a registered user who requests an inspection and lists a vehicle for sale.
  • Buyer — a user who browses listings and may submit an offer or contact us about a vehicle.
  • Listing — a published vehicle page, including specifications, photographs, the 360° view, and the inspection report.
  • Inspection Report — the point-in-time assessment described in Section 6.
  • Commission — the fee described in Section 8.
  • Introduction — the point at which ELGARAGE first makes a specific vehicle and its seller available to a buyer through the Platform, including by publishing the Listing or facilitating contact.

3. Eligibility and Accounts

You must be at least 18 years old to register or transact. You can browse the Platform without an account, but you must register to submit a request to sell a vehicle or to submit an offer to buy one.

Registration requires a mobile phone number and a password, and verification by a one-time password (OTP) sent to your phone via WhatsApp (with SMS as a fallback). You are responsible for keeping your password confidential and for all activity under your account. Notify us immediately at support@elgaragegy.com if you suspect unauthorised use. You must provide accurate information and keep it up to date.

4. Selling a Vehicle: Listings and Inspection

When you request to sell a vehicle, you provide the vehicle's details and a location, date, and time for inspection. An ELGARAGE inspector, accompanied by an account manager, will visit to conduct the inspection, capture a 360° walk-around, and consult with you on pricing. We review each Listing before publishing it, and we may decline to publish or may remove any Listing at our discretion.

Seller warranties. By listing a vehicle, you represent and warrant that:

  • You are the legal owner of the vehicle, or are authorised by the owner to sell it;
  • You have the right to sell it and, to your knowledge, it is free of any undisclosed lien, mortgage, or legal encumbrance beyond what the inspection discloses;
  • All information you provide about the vehicle is true, accurate, and not misleading;
  • The vehicle's chassis and engine numbers and its documentation are genuine and match the vehicle.

You are responsible for the accuracy of what you tell us and what you tell buyers. You agree to indemnify ELGARAGE against any claim arising from a breach of these warranties (see Section 12).

5. Pricing and the Displayed Price

The price shown on a Listing is the seller's desired price plus the ELGARAGE Commission (see Section 8). The seller receives their desired price; the buyer pays the displayed price. Pricing consultation provided by ELGARAGE is guidance only; the seller sets their desired price and both parties are responsible for their own decision to transact.

6. The Inspection Report — Important Disclaimer

The Inspection Report is a visual and functional assessment of the vehicle at a single point in time — the date and time of the inspection. It is prepared by a trained inspector based on what is visible and testable during an on-site inspection, without dismantling the vehicle.

The Inspection Report is NOT:

  • a warranty or guarantee of the vehicle's condition, quality, safety, or future performance;
  • a guarantee that the vehicle is free of hidden, latent, internal, or concealed defects that were not reasonably detectable during a visual and functional inspection;
  • a substitute for the buyer's own inspection or the buyer arranging an independent mechanic;
  • a valuation or a guarantee that the price is fair.

The vehicle's condition may change after the inspection date. Buyers must satisfy themselves as to the condition of any vehicle before purchasing it. By opening and viewing an Inspection Report, the buyer acknowledges and accepts these limitations.

Documents & Verification. The Documents & Verification part of the report (including chassis/engine matching, traffic violations, liens, and customs/import documentation) reflects what the seller disclosed and what the relevant records showed on the date checked. It is not a guarantee of clear title and does not detect matters not appearing in those records on that date. Buyers remain responsible for completing their own verification, including at the traffic registration department (إدارة المرور).

7. Buying a Vehicle: Browsing, Offers, and Contact

You may browse Listings without an account. To submit an offer, you must register.

Offers are not binding. An offer you submit is an expression of interest only. It is not a binding commitment to buy, and it does not create a contract. It tells us you are interested so that we can contact you and, where appropriate, negotiate. No sale is concluded unless and until the buyer and seller agree final terms directly.

Contacting a seller. To protect seller privacy, the call and WhatsApp options on a Listing route to ELGARAGE, not to the seller directly. All communication between buyer and seller is mediated by ELGARAGE. You agree not to attempt to identify or contact a seller outside the Platform in order to circumvent ELGARAGE (see Section 8).

8. Commission and Payment

The Commission. ELGARAGE charges a Commission of 2%, calculated on the seller's desired price and included in the displayed price. The buyer pays the displayed price; ELGARAGE retains the Commission.

No payments on the Platform. ELGARAGE does not process payments. Payment for the vehicle is settled directly between buyer and seller (for example, by bank transfer or in person). ELGARAGE is not a payment processor, holds no funds, and is not responsible for, or a guarantor of, any payment between the parties. The Commission is collected by ELGARAGE in person at the point of sale, with an ELGARAGE representative present.

When the Commission is earned (anti-circumvention). The Commission is earned when a sale of a listed vehicle is concluded between a buyer and a seller who were introduced to one another through ELGARAGE, as a result of that introduction — whether or not the sale is finalised through the Platform, and whether or not the Listing is still active at the time of sale.

If, within 6 months of an Introduction, the buyer and seller conclude a sale of that vehicle (or of another vehicle where the parties were introduced through ELGARAGE), the Commission remains due to ELGARAGE. Buyers and sellers agree not to circumvent ELGARAGE by concluding or completing a transaction outside the Platform in order to avoid the Commission.

The seller's binding obligations in relation to the Commission and circumvention are also set out in the separate Seller Listing Agreement signed by the seller, which prevails in the event of any inconsistency with these Terms on those points.

9. Ownership Transfer

In Egypt, legal transfer of ownership requires the buyer and seller to attend the traffic registration department (إدارة المرور) together. ELGARAGE may attend to facilitate the handover, but the transfer of registration is the responsibility of the buyer and seller. ELGARAGE does not guarantee the outcome of any government registration process.

10. Prohibited Conduct

You agree not to:

  • provide false, misleading, or fraudulent information;
  • list a vehicle you do not own or have no right to sell;
  • circumvent ELGARAGE to avoid the Commission (Section 8);
  • use the Platform for any unlawful purpose, or to harass, spam, or defraud another user;
  • attempt to gain unauthorised access to the Platform, or interfere with its operation or security;
  • copy, scrape, or reproduce Platform content (including Listings, reports, and 360° assets) without our permission.

We may suspend or terminate any account that breaches these Terms.

11. Intellectual Property

The Platform and its content — including the ELGARAGE name and logo, the inspection report format, photographs, 360° views, text, and software — are owned by ELGARAGE or its licensors and are protected by law. Photographs and 360° views we produce of a listed vehicle are our property; by listing, the seller grants us the right to use them to market the vehicle and the Platform. You may not use our content except as necessary to use the Platform for its intended purpose.

12. Disclaimers, Limitation of Liability, and Indemnity

Disclaimer. The Platform and our services are provided on an "as is" and "as available" basis. Except as expressly stated in these Terms, ELGARAGE makes no warranties about the Platform, any Listing, any vehicle, or any transaction. We do not guarantee that any vehicle will be sold, that any sale will complete, or that any information provided by a seller is accurate.

Intermediary role. Because ELGARAGE is an intermediary and not a party to the sale, we are not liable for the condition, quality, safety, legality, or title of any vehicle, nor for the conduct of any buyer or seller, nor for any dispute between them. Any dispute over the vehicle or the sale is between the buyer and the seller.

Limitation of liability. To the maximum extent permitted by law, and except in cases of fraud or gross negligence, ELGARAGE shall not be liable for any indirect, special, consequential, or incidental damages arising out of or in connection with the Platform, the services, any Listing, or any transaction.

Indemnity. You agree to indemnify and hold ELGARAGE harmless against any claim, loss, or expense arising from your breach of these Terms, your breach of the seller warranties in Section 4, or your violation of any law or the rights of any third party.

13. Suspension and Termination

You may stop using the Platform and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Platform or other users. Provisions that by their nature should survive termination — including Commission (Section 8), intellectual property (Section 11), and liability and indemnity (Section 12) — survive.

14. Changes to These Terms

We may update these Terms to reflect changes in the law or our services. If we make a material change, we will post the updated Terms in the app and on our website and update the "Last updated" date. Your continued use after a change means you accept the updated Terms; where the law requires, we will seek your consent.

15. Governing Law and Disputes

These Terms are governed by the laws of the Arab Republic of Egypt. The Egyptian courts have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Platform.
